On January 14, 2011, Comverse Technology, Inc. (the “Company”) completed the sale of 2.3 million shares of common stock of its majority owned subsidiary, Verint Systems Inc. (“Verint”) in a previously announced secondary public offering (the “Offering”) for aggregate proceeds net of underwriting discounts and commissions of $76.5 million. The offering was completed as part of the initiatives undertaken by management to improve the Company’s cash position.
 
 
On January 14, 2011, Verint announced the closing of the Offering by the Company. The full text of the press release issued in connection with the announcement is filed as Exhibit 99.1 to this Current Report on Form 8-K.

(“Comverse”), the Company’s majority stockholder, has successfully completed its previously announced offering of 2,300,000 shares of the Company’s common stock held by Comverse, including 300,000 shares sold pursuant to the exercise by the underwriters of their full over-allotment option. The Company did not receive any proceeds from the offering.
