Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective January 30, 2014, David S. Nagle resigned from his position as Chief Operations Officer, AMI Distribution of each of Associated Materials Group, Inc. and Associated Materials, LLC (the “Company”). The Company has agreed, for purposes of Mr. Nagle’s Employment Agreement dated February 10, 2012, to treat Mr. Nagle’s resignation in the same manner as if he were terminated without “Cause.”
