Item 3.01  Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

For the period August 3, 2010 through September 15, 2010, the Company’s closing bid price did not reach $1.00 per share. As a result, on September 16, 2010, the Company received a letter from The Nasdaq Stock Market LLC (“Nasdaq”) indicating the Company no longer complies with Nasdaq’s minimum bid price requirement of $1.00 per share as set forth in Listing Rule 5550(a)(2). However, the letter also indicated the Company has a compliance period of 180 calendar days to demonstrate compliance, per Listing Rule 5810(c)(3)(A). If, at anytime, during this compliance period the bid price of the Company’s common stock closes at $1.00 per share or more for a minimum of 10 consecutive business days, Nasdaq will provide the Company with written confirmation of compliance and the matter will be closed.

 

In the event the Company does not regain compliance with Listing Rule 5550(a)(2) prior to the expiration of the compliance period, it will receive written notification that its securities are subject to delisting, at which time it could appeal the delisting determination. Alternatively, the Company may be eligible for an additional compliance period if it meets the initial listing standards, with the exception of the minimum bid price, for The Nasdaq Capital Market. If it meets the initial listing criteria, Nasdaq will notify the Company that it has been granted an additional 180 calendar day compliance period.
