PART III — NARRATIVE

The Company is in the process of completing its Annual Report on Form 10-K for the fiscal year ended March 31, 2007.  As a result of significant changes to our board and senior management during the fourth quarter of fiscal 2007, and well into the current fiscal year, the Company is not able to file its Form 10-K by the filing date, June 14, 2007, without unreasonable effort or expense. The Company anticipates that it will file its Annual Report on Form 10-K by June 29, 2007.
