(the “Company”) hereby withdraws from registration under this Post-Effective Amendment any and all shares of common stock, par value $.0001 per share, of the Company (“Common Stock”) originally registered under the Registration Statements on Form S-8 (Registration Nos. 333-22445, 333-111081, 333-43940, 333-135642, 333-68315 and 333-22439) which have not been issued. Following the merger of the Company with Knickerbocker Acquisition Corp., a wholly owned subsidiary of infoUSA Inc., such shares will not be issued or sold.
