        Section 317 of the California Corporations Code allows for the indemnification of officers, directors, and other corporate agents in terms sufficiently broad to indemnify such persons under certain circumstances for liabilities (including reimbursement for expenses incurred) arising under the Securities Act and the Exchange Act.

        The Registrant's articles of incorporation and bylaws require that the Registrant indemnify its directors, officers, employees and other agents to the extent and under the circumstances permitted by

the California Corporations Code. The Registrant's bylaws also permit it to secure insurance on behalf of any officer, director, employee or other agent for any liability arising out of his or her actions in such capacity.

        The Registrant has entered into agreements to indemnify its directors and officers, to the extent permitted by the California Corporations Code, against certain liabilities that may arise by reason of their status or service as agents of the Registrant. In addition, the Registrant maintains indemnity insurance that indemnifies its directors and officers against certain losses that arise in connection with claims made against them for certain wrongful acts.
