On April 19, 2006, PAREXEL International Corporation (the “Company”) reported the resignation of William U. Parfet from the Company’s board of directors (the “Board”) effective May 1, 2006. Mr. Parfet was a member of the Board’s Audit and Finance Committee and Nominating and Corporate Governance Committee. On May 1, 2006, the Company received a letter from The Nasdaq Stock Market, Inc. indicating that the Company is not in compliance with the Audit Committee composition requirement for continued listing set forth in Marketplace Rule 4350(d)(2)(A) as a result of having only two independent members instead of the three independent members required by such rule. It is the Company’s intention to be compliant prior to the earlier of its next annual shareholders’ meeting or May 1, 2007, the expiration of the cure period as provided under Marketplace Rule 4350(d)(4).
