Item 2.02. Results of Operations and Financial Condition.

     On January 11, 2010, PAREXEL International Corporation updated its forward looking guidance for the quarter ended December 31, 2009 and the fiscal year ending June 30, 2010, issued forward looking guidance for the calendar year ending December 31, 2010, clarified details of a recently announced restructuring charge, and issued additional information regarding the quarter ended December 31, 2009. The full text of the press release issued in connection with the announcement is attached as Exhibit 99.1 to this Current Report on Form 8-K.
