Item 2.02. Results of Operations and Financial Condition.

On May 10, 2011, Carmike Cinemas, Inc. (the “Company”) issued a press release announcing its financial results for the three months ended March 31, 2011. The press release contains information about the Company’s financial condition at March 31, 2011 and results of operations for the three months ended March 31, 2011. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein in its entirety.
