Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On January 31, 2006, Carmike Cinemas, Inc. (the “Company”), announced that Martin A. Durant, the Company’s Senior Vice President — Finance, Treasurer and Chief Financial Officer, has indicated his intention to retire. Mr. Durant agreed to continue in his current role until April 1, 2006. The Company has retained Korn/Ferry International to conduct a search for a new Chief Financial Officer. A copy of the press release, dated January 31, 2006, announcing Mr. Durant’s retirement is attached hereto as Exhibit 99.1 and incorporated herein by reference.
