PART III NARRATIVE State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period: The Company requires additional time to prepare and file its Quarterly Report on Form 10- Q for the fiscal quarter ended June 30, 2000 (the "Second Quarter Form 10-Q") in order to reflect recent developments occurring just prior to the prescribed due date for the Second Quarter Form 10-Q, including the following: - On August 1, 2000, the Company announced that its senior lenders had delivered a notice blocking the semi-annual interest payment on the Company's 9 3/8% Senior Subordinated Notes; and - On August 8, 2000, the Company and its subsidiaries filed voluntary petitions to reorganize their business under chapter 11 of the U.S. Bankruptcy Code. Due to difficulties and issues associated with the appropriate financial statement presentations and disclosures required with respect to these matters, the Company was unable to timely file the Second Quarter Form 10-Q without unreasonable effort or expense.
