Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On April 11, 2011, Elizabeth J.A. Allen’s employment terminated and she is no longer the Senior Vice President of Marketing for Cost Plus, Inc. (the “Company”). Ms. Allen’s responsibilities will be assumed by John I. Wight, Vice President of Marketing.
