Item 1.01.
Entry into a Material Definitive Agreement

On March 5, 2020, First Citizens BancShares, Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”), among the Company, as issuer, the Company’s wholly-owned subsidiary First-Citizens Bank & Trust Company (“FCB”), and Piper Sandler & Co., as representative of the several underwriters named therein (the “Underwriters”), pursuant to which the Company agreed to sell, and the Underwriters agreed to purchase, subject to and upon the terms and conditions set forth therein, an aggregate of 12,000,000 depositary shares, each representing a 1/40th interest in a share of the Company’s 5.375% Non-Cumulative Perpetual Preferred Stock, Series A, par value $0.01 per share (the “Series A preferred stock”), with a liquidation preference of $25 per depositary share (equivalent to $1,000 per share of Series A preferred stock). The net proceeds to the Company from the offering are expected to be approximately $295.85 million, after deducting underwriting discounts and commissions and estimated offering expenses. The Company has granted to the Underwriters an option, exercisable for 30 days, to purchase up to an additional 1,800,000 depositary shares, at the public offering price less the underwriting discount, to cover overallotments, if any. The Company intends to use the net proceeds of the offering for general corporate purposes. The offering is expected to be completed on March 12, 2020.

The offering is being made pursuant to the Company’s Registration Statement on Form S-3 dated February 26, 2020 (File No. 333-236647), as supplemented by the prospectus supplement, dated March 5, 2020, filed with the Securities and Exchange Commission on March 6, 2020. The Underwriting Agreement includes customary representations, warranties, covenants, indemnification rights, and termination provisions. The representations, warranties, and covenants contained in the Underwriting Agreement (i) were made only for purposes of the Underwriting Agreement and as of specific dates; (ii) were solely for the benefit of the parties to the Underwriting Agreement; and (iii) are not representations of factual information to investors about the Company or its subsidiaries, including FCB.

A copy of the Underwriting Agreement is attached hereto as Exhibit 1.1 and is incorporated herein by reference. The foregoing description of the terms of the Underwriting Agreement is qualified in its entirety by reference to the Underwriting Agreement.
