On the basis of such evaluation, we advise you that in our opinion: the Company is validly existing under the law of the State of North Dakota; and the 4,000,000 Common Shares covered by the Registration Statement have been duly and validly authorized by the Company, and, when sold as described in the Registration Statement, will have been duly and validly issued, fully paid and non-assessable.
