Item 3.03 Material Modification to Rights of Security Holders.

On April 17, 2008, Element 21 Golf Company (the “Company”) filed a Certificate of Amendment to the Certificate of Incorporation of the Company to effectuate a 1 for 20 reverse stock split of the Company’s issued and outstanding shares of common stock as of April 17, 2008. Fractional shares will not be issued but instead will be rounded up to the next whole number. In connection with this reverse stock split, the National Association of Securities Dealers Automated Quotation System (NASDAQ) notified the Company on April 24, 2008 that the reverse split would take effect on April 25, 2008 and that the new symbol of the Company is ETGF.
