10-Q or N-SAR or a portion thereof could not be filed within the prescribed
time period.

The Company requests additional time so that our newly acquired subsidiary can
finalize their financial statements and our newly engaged auditors can perform
interim internal and external audit procedures on the Company for the
quarterly filing.

In October 2002, the Company acquired a newly organized business, Element 21
Golf Company, which is in development stage.  The financial statements will be
consolidated with this new entity.   The results of operations will have
increased costs for the period that may or may not be indicative of the
results of operation for the fiscal year ending June 30, 2003.
