7. Uncertainties

In

January 2020,

the World Health Organization declared the outbreak of a novel strain of coronavirus (“COVID-

19”

) to constitute a “Public Health Emergency of International Concern.” The COVID-

19

outbreak has led to significant business disruption across a range of industries and has adversely impacted, and

may

continue to adversely impact, economic activity nationally and globally.  The extent of the impact of COVID-

19

on the Company’s operational and financial performance will depend on certain developments, including the impact on Stone & Leigh’s operations, and the impact of HC Realty’s operations all of which are uncertain and cannot be predicted.  At this point, the extent to which COVID-

19

may

impact the Company’s financial condition or results of operations is uncertain.
