Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 10, 2006, our Board of Directors accepted the resignation of George E. Pine as a director and as President and Chief Operating Officer. Mr. Pine resigned as part of our voluntary separation program which is part of our overall efforts to reduce administrative costs. Terms of Mr. Pine’s severance package are currently being finalized.
