Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On August 7, 2006, our Board of Directors accepted the resignations of Terence Bate and Arnold Sheiffer from the Board. Messrs. Bate and Sheiffer resigned at the request of management as part of our efforts to reduce administrative costs. As part of this cost reduction program, in February 2006 we terminated our registration under the Securities Exchange Act of 1934. Following the de-registration, our need for outside directors is not as great as it was previously, and we have, accordingly, reduced the number of outside directors from five to three with these resignations.
