         Due to continuing refinement of the accounting and financial reporting
relating to the Company's conversion of debt securities and issuance of equity
securities during the third quarter of 2009, the Company's Quarterly Report on
Form 10-Q for the quarter ended September 30, 2009 could not be completed in
time without unreasonable effort and expense to the Company.
