ITEM 2.02                      Results of Operations and Financial Condition.

On January 27, 2009 we issued a shareholder letter, attached hereto as Exhibit 99.1, which contained information regarding our results of operations for the year ended December 31, 2008, including a statement that revenue had increased from approximately $400,000 in 2007 to $8,300,000 in 2008, and that operational expenses were reduced by 37% and were expected to be further reduced following the consolidation of datacenters in December 2008 and the expiration of various existing lease agreements throughout 2009.
