Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     (e) The Board of Directors of the Company is currently reviewing the Company’s overall executive compensation structure. In connection with the recent promotion of Jeffrey T. Mezger to President and Chief Executive Officer of the Company, the Board resolved at its December 7, 2006 meeting to increase Mr. Mezger’s annual salary to $1 million, effective December 1, 2006. The Board is considering the other components of Mr. Mezger’s compensation package as part of the overall review which is expected to be completed in February 2007. At that time the Company will disclose any further actions taken by the Board with respect to the other components of Mr. Mezger’s total compensation package.
