Item 2.02.
Results of Operations and Financial Condition.
On February 4, 2020, Macy’s, Inc. (“Macy’s” or the “Company”) issued a press release announcing preliminary sales results for the fourth quarter and full-fiscal year 2019. The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
Item 2.05.     Costs Associated With Exit or Disposal Activities.
On February 4, 2020, Macy’s announced that it currently anticipates it will incur total costs of approximately $450 million to $490 million relating to its Polaris strategy, a three-year plan designed to stabilize profitability and position the Company for growth.  The charges will be comprised of approximately $180 million to $200 million of non-cash impairment charges associated with store closures and campus consolidation and approximately $270 million to $290 million of cash expenditures.  The estimated cash expenditures are expected to consist of approximately $230 million to $250 million for human resource (HR)-related costs and approximately $40 million for other restructuring-related costs.  In fiscal 2019, the Company expects to incur all non-cash charges and approximately $185 million to $205 million of HR-related and other restructuring-related costs.
