1.01 Entry into a Material Definitive Agreement

Level 3  Communications,  Inc. (the "Company") has revised its agreement for the
issuance  of its  outperform  stock  options  to its  employees,  which  will be
effective  July 1, 2005.  The form of agreement is filed as Exhibit 10.1 to this
Current Report and is incorporated by reference as if set forth in full.
