Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Paul J. Jones will be leaving his role as Vice President, Chief Legal Officer, Chief Compliance Officer & Secretary of Harley-Davidson, Inc. effective November 29, 2019. Mr. Jones served Harley-Davidson for nearly ten years. As Paul moves on to his next professional ventures, the company wishes him well with our gratitude and respect for his many contributions during his time with Harley-Davidson. The company is executing a search for an individual to fill this leadership role.
