Item 3.    Source and Amount of Funds or Other Consideration:  Upon the
           death of William J. Liles, Jr., the shares for which this
           Schedule 13D is filed passed into his estate.  Pursuant to Mr. Liles'
           will, the shares have now been transferred to the William J. Liles,
           Jr. Marital Trust.  No consideration was paid for such transfer of
           shares.
