Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 18, 2010, Jane E. Keller informed The Navigators Group, Inc. (the “Company”) of her intention to resign as Senior Vice President and Chief Claims Officer of the Company. Ms. Keller’s resignation will be effective on July 14, 2010.

Ms. Keller is not resigning as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
