Item 3.01 Notice of Delisting or Failure to Satisfy a Continued  Listing Rule or
          Standard; Transfer of Listing

         On March 16, 2010, Blue Dolphin Energy Company (the "Company") received
a letter from The Nasdaq  Stock  Market  notifying  the Company  that its common
stock is subject to delisting for failure to comply with Nasdaq Marketplace Rule
5550(a)(2),  which requires listed securities to maintain a minimum bid price of
$1.00 per share.

         The Company plans to timely  request a hearing  before a Nasdaq Listing
Qualifications  Panel (the "Panel") to appeal the delisting  determination.  The
hearing request will stay the delisting of the Company's  common stock pending a
written decision by the Panel.
