ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL  OFFICERS;  ELECTION OF DIRECTORS;
APPOINTMENT OF PRINCIPAL OFFICERS.

         On June 29,  2005,  G. Brian Lloyd  resigned  from his position of Vice
President,  Treasurer and Secretary of Blue Dolphin Energy  Company,  a Delaware
corporation. Mr. Lloyd's resignation will be effective July 15, 2005.
