ITEM 8.01.    OTHER EVENTS.

On November 5, 2022, Werner Enterprises, Inc. (the Company), a Nebraska corporation, acquired 100% of the equity interests of Reed Transport Services, Inc. and RTS-TMS, Inc., doing business as ReedTMS Logistics, based in Tampa, Florida, for $112.4 million, which includes a maximum $7.5 million earnout based on 2023 earnings before interest, income taxes, depreciation and amortization (EBITDA). The Company financed the transaction through existing credit facilities. A copy of the press release announcing the acquisition is attached hereto as Exhibit 99.1.
