PART III — NARRATIVE

 

 

The Registrant along with five (5) other affiliated California limited partnerships have filed Form 12b-25 in order to submit, and allow for sufficient time for the Commission to review, their joint No Action Letter Request which will be submitted shortly. The No Action Letter Request asks for suspension of their reporting requirements and is based on ample precedent in the case of companies that have ceased operations, filed equity holder approved state dissolution papers and exist solely for the purpose of liquidating their assets and winding up their affairs. The dissolution approvals of their limited partners was solicited through proxy statements duly filed with and reviewed by the Commission’s Staff.
