     In connection with the Annual Report of Banyan Strategic Realty Trust
(the "Company") on Form 10-K for the year ending December 31, 2002 as filed
with the Securities and Exchange Commission on the date hereof (the
"Report)"), I, Robert G. Higgins, First Vice President and General Counsel
of the Company through January 3, 2003; currently, Primary Liquidating
Trustee, certify, pursuant to 18 U.S.C. Section 1350, as adopted pursuant
