     On March 15, 2002, the Trust issued a Press Release announcing that
it has acquired the interest of its partner, M & J Wilkow, Ltd., in the
Northlake Tower Festival Mall in Atlanta, Georgia for the purchase price of
$1.3 million.  A copy of press release is attached hereto as exhibit (99.4)
and is incorporated herein by reference.
