As previously disclosed, in connection with the proposed merger (the Merger) involving Tech Data Corporation (the Company) and Tiger Midco, LLC (Parent), on November 26, 2019, the Company and Parent each filed a premerger notification and report form under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the HSR Act) with the Antitrust Division of the Department of Justice and the Federal Trade Commission. At 11:59 p.m., Eastern time, on December 26, 2019, the waiting period with respect to the premerger notification and report form under the HSR Act expired. The expiration of the waiting period under the HSR Act satisfies a condition to the closing of the Merger. The closing of the Merger remains subject to other customary closing conditions, including the approval of the Companys stockholders and the receipt of certain other required regulatory approvals.

In connection with the Merger, the Company filed with the U.S. Securities and Exchange Commission (the SEC) a preliminary Proxy Statement of the Company (the Proxy Statement) on December 12, 2019.
