If Existing Debentures are tendered pursuant to book-entry procedures, the exchange agent must receive, no later than midnight, New York City time, on the expiration date, book-entry confirmation of the tender of the Existing Debentures into the exchange agent's account at DTC, along with a completed Letter of Transmittal or an agent's message. If less than all the Existing Debentures evidenced by any certificate submitted are to be tendered, fill in the principal amount of Existing Debentures which are to be tendered in the "Principal Amount Tendered" column of the box entitled "Description of Existing Debentures" on page 3 of this Letter of Transmittal. BACKUP WITHHOLDING; SUBSTITUTE FORM W-9; FORMS W-8. If the exchange agent is provided with an incorrect TIN, the holder may be subject to a $50 penalty imposed by the IRS. 11. WAIVER OF CONDITIONS.
