NOTE 9 — LOSS ON DISPOSAL OF SUBSIDIARIES

During the fourth quarter of fiscal 2015, the Company committed to a plan to sell its business operations in Chile and Peru. The Company classified the assets and liabilities of these entities as held for sale at January 31, 2015. The sale was completed during March 2015 at an amount approximating net book value. In March 2015, the Company also committed to a plan to exit its business operations in Uruguay and incurred a loss of $0.4 million in the first quarter of fiscal 2016 for charges related to the plan. The operating results of these entities during the three months ended April 30, 2015 and 2014 were insignificant relative to the Company's consolidated financial results. The Company did not have assets and liabilities classified as held for sale at April 30, 2015.
