Explanation of Responses:
1. Grant of stock options to Ms. Mims exempt under Rule 16b-3(d), pursuant to
the Ryerson Tull 2002 Incentive Stock Plan, includes the right to have shares
withheld to satisfy tax withholding obligations.  14,520 shares become
exercisable on 1/22/04; 14,9
60 shares become exercisable on 1/22/05; and 14,520 shares become exercisable
on 1/22/06.
