Explanation of Responses:
1. Grant of stock options to Mr. Makarewicz exempt under Rule 16b-3(d),
pursuant to the Ryerson Tull 2002 Incentive Stock Plan, includes the right to
have shares withheld to satisfy tax withholding obligations.  16,500 shares
become exercisable on 1/22/04
; 17,000 shares become exercisable on 1/22/05; and 16,500 shares become
exercisable on 1/22/06.
