Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

The Board of Directors of National Bancshares Corporation and its subsidiary First National Bank has appointed its current President and Chief Executive Officer, David C. Vernon, as a Director of the Company. Mr. Vernon has been appointed as a Class III Director (term to expire April 2008) to fill a vacant position held by the Bank’s previous President and CEO. It is expected that Mr. Vernon will serve on the Bank’s Executive Committee.
