This Registration Statement on Form S-8 is being filed for the purpose of registering 60,000,000 shares of the Registrant’s Common Stock that may be issued pursuant to awards granted under the EMC Corporation Amended and Restated 2003 Stock Plan (the “Plan”). I am Executive Vice President and General Counsel to EMC Corporation, a Massachusetts corporation (the “Company”), and am issuing this opinion in connection with the registration statement on Form S-8 (the “Registration Statement”) being filed by the Company with the Securities and Exchange Commission (the “Commission”) on the date hereof for the purpose of registering under the Securities Act of 1933, as amended (the “Securities Act”), an aggregate of 60,000,000 shares (collectively, the “Shares”) of common stock, par value $0.01 per share, of the Company (“Common Stock”), which may be issued pursuant to awards granted under the EMC Corporation Amended and Restated 2003 Stock Plan (the “Plan”).
