Remarks

1. Corvex Management LP (Corvex) may be deemed to be the beneficial owner of shares of Common Stock (Common Stock) of MGM Resorts International (the Issuer) held by Corvex-E L.P. as such entity's investment adviser. The general partner of Corvex is controlled by Keith Meister, who serves as a director on the Board of Directors of the Issuer. 2. Shares of Common Stock to be sold were purchased between June 13, 2019 and June 20, 2019 in various open market transactions.
