TENDER OFFER This Tender Offer Statement on Schedule TO relates to the offer (the "Offer") by MPF-NY 2005, LLC, MPF Flagship Fund 9, LLC, MPF Blueridge Fund I, LLC, MPF Blueridge Fund II, LLC (collectively the "Purchasers") to purchase up to 1,450 Units of limited partnership interest (the "Units") in Carolina Investment Partners, Limited Partnership (the "Partnership"), the subject company, at a purchase price equal to $325 per Unit, less the amount of any distributions declared or made with respect to the Units between December 29, 2005 (the "Offer Date") and February 17, 2006 or such other date to which this Offer may be extended (the "Expiration Date"), upon the terms and subject to the conditions set forth in the Offer to Purchase dated December 29, 2005 (the "Offer to Purchase") and the related Letter of Transmittal. Most of the Purchasers hold a liquidation vote five years after the close of the offering to new investors. The Purchasers are all in their first year of operations following the close of their offerings. If a Purchaser's members vote to liquidate, the manager attempts to sell the securities held by the Purchaser, such as any Units purchased pursuant to this Offer, to another buyer at the best price obtainable. Such buyer may be a third party or an affiliate of the Purchaser that is not liquidating. While the Purchasers may sell their assets prior to liquidation, none of the Purchasers has done so. The Purchasers might choose to take a more active role in a partnership in which they invest if they believe that the general partner of the Partnership is not acting in the best interest of the limited partners. For example, in the past, affiliates of the Purchasers have opposed votes in favor of selling partnership properties when the Partnership did not engage in an active marketing campaign to achieve the best sale price, or when the properties are sold to an affiliate of the general partner for an unfair value. Similarly, our affiliates have proposed that partnerships attempt to sell their properties when doing so would be in the best interest of limited partners, whether through discussions with general partners or by requesting a vote of limited partners.
