SUNGARD ANNOUNCES EXPIRATION OF HART-SCOTT-RODINO ACT WAITING PERIOD IN CONNECTION WITH ITS ACQUISITION BY CONSORTIUM OF PRIVATE EQUITY FIRMS

 

Wayne, PA - May 17, 2005 - SunGard (NYSE: SDS) announced today that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, expired at 11:59 p.m., New York City time, on May 16, 2005, in connection with the company’s pending acquisition, in a transaction valued at approximately $11.4 billion, by a consortium of private equity investment firms. The acquiring consortium was organized by Silver Lake Partners and includes Bain Capital, The Blackstone Group, Goldman Sachs Capital Partners, Kohlberg Kravis Roberts & Co. L.P., Providence Equity Partners and Texas Pacific Group.

 

The transaction remains subject to the receipt of stockholder approval and customary regulatory approvals as well as the satisfaction of other customary closing conditions. The transaction is expected to close in the third quarter of 2005.
