-ii- 4 PROSPECTUS MICROSOFT CORPORATION 165,729 Common Shares Par Value of $.000025 Per Share -------------------- This Prospectus relates to up to 165,729 shares of common stock (the "Common Shares") of Microsoft Corporation, a Washington corporation ("Microsoft"), which may be offered from time to time by the selling shareholder named herein (the "Selling Shareholder"). Microsoft will not receive any of the proceeds from the sale of the Common Shares.
