Item 4.  Purpose of Transaction

         To amend the following:

The Company has engaged in discussions with Eskimo Pie regarding the possibility
of acquiring additional shares or possibly the entire Company. It also has had
discussions with some of the Company's larger shareholders about their interest
in disposing of their shares. No decision has been made whether to pursue any of
the various alternatives that have been discussed.

The Company continues to hold the shares of Eskimo Pie for investment, but it
reserves the right to purchase additional shares and also to undertake to
acquire control of Eskimo Pie. It also reserves the right to dispose of any of
the shares it currently owns.
