  (d) On April 4, 2005, Agilysys, Inc. (the “Company”) filed a Form 8-K (the “Report”) announcing that Dr. Curtis J. Crawford had been appointed to the Company’s board of directors. Committee assignments for Dr. Crawford had not been determined as of the filing of the Report. This Form 8-K/A amends the Report to include the disclosure that, on April 29, 2005, Dr. Crawford was appointed to the compensation committee of the Company’s board of directors.
