Item 8.01.         Other Events

On October 25, 2006, the Company issued a press release announcing that the Company’s common shareholders of record as of November 15, 2006, will receive a $0.25 per share dividend payable December 1, 2006.  This payment continues the annualized rate of $1.00 per common share.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference.
