On September 25, 2104, DPL Inc. issued a press release announcing that it has priced an offer of $200 million in aggregate principal amount of 6.75% senior notes due 2019 in a private placement to eligible investors.  A copy of the press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
