Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 6, 2016, the Company announced that Peter Sassi, the Company’s Chief Planning Officer, would be leaving the Company, effective September 9, 2016, to pursue other interests. In connection with his cessation of employment, Mr. Sassi will receive severance and benefits in accordance with the terms of his participation in the Company’s Management Severance Plan, as amended.
