Note 14 Subsequent Event

On

January 8, 2018,

Hom/Ade Foods, Inc, a wholly owned subsidiary of J & J Snack Foods Corp. (the “Company”), issued a Product Recall Notification for certain products marketed under the name “MARY B

’s Biscuits,” which have the potential to be contaminated with

Listeria monocytogenes.

The affected products were manufactured by Flowers Foods, Inc. (“Flowers”), and the Company is working in coordination with Flowers and the U.S. Food and Drug Administration to effectuate the recall.  We believe that Flowers, the manufacturer of the recalled product and initiator of the recall, is contractually obligated to indemnify us against all costs related to a recall triggered by defective product or governmental demand.  Although we are

not

able to estimate the costs related to the recall presently, we do

not

expect the costs to have a material impact on our financial statements.  Additionally, we  expect to be reimbursed by Flowers for our costs related to the recall. 

We anticipate disruption to our product supply and sales going forward.
